Practical guide
Register an SRL: choose the right registry
Compare CABA, Buenos Aires Province and Córdoba, prepare the filing, answer observations and confirm tax/operating access.
Start with the actual legal address
Choose the form and legal address together. CABA’s IGJ, Buenos Aires Province’s DPPJ and Córdoba’s IPJ use different procedures. A provincial SRL does not use the CABA SAS example.
Example: two founders proposing an SRL prepare ownership in quotas, management, capital, activity and office details. Take a one-page operating brief before selecting the registry form.
CABA SRL: use the September 2026 rules
Prepare the instrument, any separate office/appointment records, capital evidence, publication and the required PEP/RePET statements. Check IGJ’s current filing form, fee and signing method before submission. Retain the receipt and respond to observations; move on with the registered instrument.
RG 11/2026 generally removes mandatory formation prequalification, with optional use and specific exceptions. The older SRL service checklist still cites older provisions: do not copy its opinion/paper requirements blindly. Confirm the current route with IGJ; do not promise the advertised urgent time for an observed filing.
Buenos Aires Province: DPPJ digital SA/SRL route
Check the filing person’s CUIT/fiscal-key access, then use DPPJ’s listed SA/SRL constitution-and-tax form. Its guidance requires PDF files, maximum 2 MB per file, valid digital signatures/certifications and names prefixed DI for registrable instruments or DC for supporting records. Keep native signed originals; a signature photo or rescanned PDF does not preserve the digital signature.
Before sending, check the current formation documents and attach readable fee form/payment evidence. Keep the file reference, follow Mi trámite and use Contesta vista for observations. A submitted form is not registration.
Córdoba: IPJ Registro Público, then CiDi
IPJ’s Registro Público catalogue has separate entries for SRL formation and foreign-company registration, plus name, signature, books and later-change procedures. Open the actual SRL entry, rather than the share-company section.
Check the filing person’s CiDi access and authority, especially with foreign owners. Prepare the proposed contract, people/representation, capital and office records, then confirm the exact attachment/signature checklist with IPJ. The linked public CiDi page did not expose the full filing instructions during our check; use IPJ guidance/contact if it is unavailable.
From registry completion to operating access
ARCA lists provincial special registration routes: Córdoba under joint regulation 5020 and Buenos Aires Province under 5238. Confirm what the registry assigns before requesting another CUIT. Keep the registered instrument, company tax record and authorised representation.
Then check federal/local tax activation, bank requirements, invoicing permission and activity/employment permits separately. Use the operating stages of the invoice guide as questions to resolve; its SAS-specific filing steps do not replace your SRL procedure.
Do not stop at the formation receipt
Assign responsibility for books, accounts, returns, notices and later company changes. Ask which items are digital and which require registry review. For CABA, S.O.D.A. is being introduced progressively; its published list covers specified accounting submissions, not every formation procedure.
Keep a practical calendar with the responsible person, official filing dates and evidence needed to close each item. Use personal follow-up dates in My Plan for preparation; they do not create or replace statutory deadlines.
Prepare the business to operate
Once the structure and registry are settled, check tax/invoice activation, local permissions and staff requirements. Assign ongoing filings to a responsible person and a current due date.
